Business and Corporate Law

Our corporate and business group provides services relating to the organization, acquisition, and maintenance of corporations, partnerships, limited liability companies, LLPs and other business entities. We counsel our clients on the purchase and sale of businesses, through taxable and non-taxable transactions, and in the creation and adaptation of business structures. We counsel our clients on loan and debt transactions and on the sale and distribution of shares, in compliance with Federal and state securities laws, and on shareholder agreements, restricting transfer and corporate governance. We assist our business clients (including start-up and early stage business clients) in stock and option arrangements for employee recruitment and in their negotiation of commercial contracts involving purchase, sale, licensing and distribution of products and services and corporate partnering arrangements. We also assist our family-business clients on those same commercial matters but also in identifying and achieving goals relating to profitability, investment, succession, and estate planning.
